Per Share Underlying Value definition

Per Share Underlying Value means, with respect to any date of determination occurring during any Calculation Period and (i) each Up-MACRO Holding Share, an amount calculated by dividing the Up-MACRO Underlying Value by the number of Up-MACRO Holding Shares Outstanding on that date, (ii) each Down-MACRO Holding Share, an amount calculated by dividing the Down-MACRO Underlying Value by the number of Down-MACRO Holding Shares Outstanding on that date, (iii) each Up-MACRO Tradeable Share, an amount equal to the Per Share Underlying Value of one Up-MACRO Holding Share on that date, and (iv) each Down-MACRO Tradeable Share, an amount equal to the Per Share Underlying Value of one Down-MACRO Holding Share on that date.
Per Share Underlying Value means, with respect to each calendar day occurring during any Calculation Period and (i) each Up MacroShare, an amount calculated by dividing the Underlying Value of the Up Trust on that day by the number of Up MacroShares outstanding on that day, and (ii) each Down MacroShare, an amount calculated by dividing the Underlying Value of the Down Trust on that day by the number of Down MacroShares outstanding on that day.
Per Share Underlying Value means, with respect to each business day occurring during any Calculation Period and (i) each Up MacroShare, an amount calculated by dividing the Up Underlying Value by the number of Up MacroShares Outstanding on that day and (ii) each Down MacroShare, an amount calculated by dividing the Down Underlying Value by the number of Down MacroShares Outstanding on that day.

Examples of Per Share Underlying Value in a sentence

  • At no time shall the Initial Deposit be included in the calculation of the Per Share Underlying Value of the Up-MACRO Tradeable Shares or any other calculation performed at any time pursuant to Article 4 or Article 8 of this Trust Agreement.

Per Share Underlying Value means, with respect to each date of determination occurring during any Calculation Period and (i) each Up-MACRO holding share, an amount calculated by dividing the Underlying Value of the Up-MACRO holding trust by the number of Up-MACRO holding shares outstanding on that date, (ii) each Down-MACRO holding share, an amount calculated by dividing the Underlying Value of the Down-MACRO holding trust by the number of Down-MACRO holding shares outstanding on that date, (iii) each Up-MACRO tradeable share, an amount equal to the Per Share Underlying Value of one Up-MACRO holding share on that date, and (iv) each Down-MACRO tradeable share, an amount equal to the Per Share Underlying Value of one Down-MACRO holding share on that date. The Per Share Underlying Value of an Up-MACRO tradeable share will always equal the Per Share Underlying Value of an Up-MACRO holding share.

  • Per Share Fair Market Value has the meaning set forth in Section 13(C).

  • Fair Market Value Per Share means as of any date the fair market value of each of the Shares on such date (the "applicable date") as determined by the Option Committee in good faith. The Option Committee is authorized to make its determination as to the fair market value on the following basis: (i) if the Shares are not traded on a securities exchange and are not quoted on the National Association of Securities Dealers, Inc.'s Automated Quotation System ("NASDAQ"), but are quoted on the Over The Counter Electronic Bulletin Board operated by NASDAQ, "Fair Market Value per Share" shall be the mean between the average daily bid and average daily asked prices of the Shares on the applicable date, as published on such bulletin board; (ii) if the Shares are not traded on a securities exchange and are quoted on NASDAQ, "Fair Market Value per Share" shall be the closing transaction price of the Shares on the applicable date, as reported on NASDAQ; (iii) if the Shares are traded on a securities exchange, "Fair Market Value per Share" shall be the daily closing price of the Shares, on such securities exchange as of the applicable date; or (iv) if the Shares are traded other than as described in (i), (ii) or (iii) above, or if the Shares are not publicly traded, "Fair Market Value per Share" shall be the value determined by the Option Committee in good faith based upon the fair market value as determined by completely independent and well qualified experts. In the case of Shares described in (i), (ii) or (iii) above, if no prices are reported for the Shares on the applicable date, the "Fair Market Value per Share" shall be the price reported for such Shares on the next preceding date on which there were reported prices.

  • Book Value Per Share is the Bank’s equity capital (excluding FAS 115 and FAS 158 adjustment and Extraordinary Items) at the end of the Plan Year divided by the Plan’s number of Phantom shares of one million three hundred sixty thousand (1,360,000).   • Market Value Adjustment means, on a given date, an amount equal to the lesser of (x) 98% and (y) a percentage determined according to the following formula: Market Value Adjustment = 98% – [(10yrCMTt – 10yrCMTlaunch) ×Duration], where 10yrCMTt = the 10-Year Treasury Constant Maturity Rate published each business day by the Board of Governors of the Federal Reserve System, or, if such rate ceases to be published, a successor rate reasonably determined by the Trustees (the “10-Year CMT”), on such repurchase date; 10yrCMTlaunch = the 10-Year CMT as of the end of the Initial Offering Period; and Duration = an estimate of the duration of the periodic interest payments of a hypothetical coupon-paying U.S. Government Security with a 25-year maturity, calculated by the Trust’s Investment Manager as of the end of the Initial Offering Period;

  • Adjusted Fair Market Value means, in the event of a Change in Control, the greater of (a) the highest price per Share paid to holders of the Shares in any transaction (or series of transactions) constituting or resulting in a Change in Control or (b) the highest Fair Market Value of a Share during the ninety (90) day period ending on the date of a Change in Control.

The determination of fair market value by an Independent Appraiser shall be based upon the fair market value of the Issuer determined on a going concern basis as between a willing buyer and a willing seller and taking into account all relevant factors determinative of value, and shall be final and binding on all parties. In determining the fair market value of any shares of Common Stock, no consideration shall be given to any restrictions on transfer of the Common Stock imposed by agreement or by federal or state securities laws, or to the existence or absence of, or any limitations on, voting rights.

  • Underlying Reference Closing Price Value means, in respect of a SPS Valuation Date, the Closing Level in respect of such day.
