Per-Share Redemption Amount means, as of any specified date, the Conversion Amount Per Share.

More Definitions of Per-Share Redemption Amount

Per-Share Redemption Amount means, with respect to any share of Preferred Stock, the sum of (x) the Liquidation Value (as defined in the Charter) of such share of Preferred Stock plus (y) all accrued and unpaid dividends on such share of Preferred Stock as of the Closing.
Per-Share Redemption Amount means an amount in USD equal to the quotient of (A) the Trust Amount two Business Days prior to the Merger Closing Date, divided by (B) the number of shares of Modern Media Common Stock that are held by all Modern Media Stockholders other than Shares held by Modern Media Sponsor (or its members if Modern Media Sponsor is dissolved on or prior to the Merger Closing Date) (and not including any shares of Modern Media Common Stock that are issuable pursuant to any Modern Media Right).

  • Early Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency calculated by the Calculation Agent as the fair market value (calculated without taking into account the creditworthiness of the Company) of a Preference Share as of the Early Preference Share Valuation Date taking into account such factor(s) as the Calculation Agent determines appropriate, including, but not limited to, the relevant Early Preference Share Redemption Event after deducting any Associated Costs (to the extent not already reflected in such fair market value).

  • Final Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency determined by the Calculation Agent equal to the Notional Amount multiplied by:

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Final Preference Share Redemption Date means the date that falls twenty Business Days following the Valuation Date on which the Calculation Agent has determined the Final Preference Share Redemption Amount or, if earlier, the first Auto-Call Valuation Date on which an Auto-Call Trigger Event has occurred.

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Early Preference Share Redemption Date means the day falling ten Business Days after the Early Preference Share Valuation Date.

  • Special Redemption Price has the meaning set forth in paragraph 4(a) of Annex I.
