Per-Share Redemption Amount definition
Per-Share Redemption Amount means, as of any specified date, the Conversion Amount Per Share.
Per-Share Redemption Amount means, as of any specified date, the product of (a) the quotient obtained by dividing (i) $10,000 by (ii) the Floor Price, multiplied by (b) the product of (i) the Conversion Amount Per Share and
Per-Share Redemption Amount means (i) the Total Redemption Amount divided by (ii) the number of shares of Company Series A Preferred Stock outstanding at the Effective Time. “Total Outstanding Shares” shall mean the number of shares of Company Common Stock and Company Convertible Securities (other than Company Options) outstanding immediately prior to the Effective Time, except shares to be cancelled pursuant to Section 1.6(g) below. “Total Redemption Amount” shall mean cash in the amount of $12,442,000. “Total Transaction Value” shall mean $125,500,000 (provided, however, that if the Company’s Third Party Expenses (as defined in Section 5.4) exceed $2,000,000, then the Total Transaction Value shall be reduced to the extent that such Third Party Expenses exceed $2,000,000).
More Definitions of Per-Share Redemption Amount
Per-Share Redemption Amount means, as applicable, the Common Stock Per Share Redemption Amount, the Existing Class B Common Stock Per Share Redemption Amount, the Existing Series A Preferred Stock Per Share Redemption Amount, and the Existing Series B Preferred Stock Per Share Redemption Amount.
Per-Share Redemption Amount has the meaning set forth in Section 2.1(iii).
Per-Share Redemption Amount means as of any date the amount that would be payable per share of Convertible Preference Stock if all of the Convertible Preference Stock were being redeemed for cash on such date in accordance with the terms hereof.

Per-Share Redemption Amount means, with respect to any share of Preferred Stock, the sum of (x) the Liquidation Value (as defined in the Charter) of such share of Preferred Stock plus (y) all accrued and unpaid dividends on such share of Preferred Stock as of the Closing.
