The representations, warranties and covenants of CBQI, PEOC and the Shareholders contained in this Agreement shall survive the execution hereof, and shall be unaffected by any investigation made by any party at any time.

Notwithstanding the foregoing, a Second Debenture may be in such other form or forms as may, from time to time, be approved by a resolution of the directors of PEOC, on behalf of the Trust or as specified in an Officer's Certificate.
