Pending Matters definition

Pending Matters means, collectively, any litigation, claims, suits, arbitrations, disputes or other proceedings between the Company and its Subsidiaries, on the one hand, and the Pending Parties, on the other, as described in the Borrower’s Form 8-K filed February 8, 2024 and any other litigation, claims, suits, arbitrations, disputes or other proceedings related thereto or to the subject matter therein and/or between such parties.
Pending Matters means the matters that are specifically identified on Schedule 4.05.
Pending Matters. Except as provided on Schedule 10.3, to the best of --------------- Seller's knowledge, there is no suit, action or other proceeding by a third party or a governmental authority pending or threatened which seeks substantial damages, fines or other penalties from either party in connection with the Interests, or seeks to restrain, enjoin or otherwise prohibit the consummation of the transactions contemplated by this Agreement.
