Pending Matters definition

Pending Matters means, collectively, any litigation, claims, suits, arbitrations, disputes or other proceedings between the Company and its Subsidiaries, on the one hand, and the Pending Parties, on the other, as described in the Borrower’s Form 8-K filed February 8, 2024 and any other litigation, claims, suits, arbitrations, disputes or other proceedings related thereto or to the subject matter therein and/or between such parties.
Pending Matters means the matters that are specifically identified on Schedule 4.05.
Pending Matters has the meaning specified in Section 2.8(c).

More Definitions of Pending Matters

Pending Matters has the meaning set forth in Section 2 below.
Pending Matters means the matters that are specifically identified on Schedule 4.05 (the “Specified Proceedings”), and shall include any proceedings brought against the Borrower or any Subsidiary by individuals or entities that opted out of any Specified Proceeding that is a class action proceeding (whether certified or putative) and that have pursued, or in the future pursue, separate proceedings (“Specified Individual Proceedings”) based on substantially similar legal theories as those alleged in such Specified Proceeding, including without limitation, those Specified Individual Proceedings disclosed in the Borrower’s or Corp.’s filings with the Securities and Exchange Commission.
Pending Matters means the licensing arrangements in place or in negotiation as more specifically set forth on Exhibit F between Techniclone and Alza Corp., Antisoma PLC, Bristol Mxxxxx Squibb Corp., BZL Corporation, Cytogen Corp., Genentech Inc., Hxxxxxx Lx Xxxxx, Inc., ILEX Oncology, Inc., Scotia, Sxxxx Xxxxx Bxxxxxx/Glaxo and Supergen, Inc. relating to VTA Technology.

Related to Pending Matters

  • Disclosed Matters means the actions, suits and proceedings and the environmental matters disclosed in Schedule 3.06.

  • Environmental Matters means any matter arising out of or relating to health and safety, or pollution or protection of the environment or workplace, including any of the foregoing relating to the presence, use, production, generation, handling, transport, treatment, storage, disposal, distribution, discharge, release, control or cleanup of any Hazardous Substance.

  • Company Disclosure Letter means the disclosure letter dated the date of this Agreement and delivered by the Company to the Purchaser with this Agreement.

  • Knowledge of Sellers means the actual knowledge of Xxxxxxx Xxxxxxxxxx, Xxxxx Xxxxx and Xxxxxx Xxxx.

  • Disclosed Litigation has the meaning specified in Section 3.01(b).

  • Company Disclosure Schedule means the disclosure schedule of the Company referred to in, and delivered pursuant to, this Agreement.

  • Material Litigation is defined in Section 6.7.
