Pending Litigation Matters means any Action involving the Companies or the Transferred Subsidiaries (other than a Legacy Proceeding or a Legacy Arbitration) Threatened, pending, or asserted prior to the Closing Date.

Pending Litigation Matters means actual or threatened litigation, investigations, claims or other legal matters that have been asserted as of the Distribution Date against Olin and/or Arch or the respective Subsidiaries of either of them.

Examples of Pending Litigation Matters in a sentence

  • The Buyer agrees to cooperate, and to cause its Subsidiaries, officers, directors and employees to cooperate, fully in connection with such Pending Litigation Matters, including, but not limited to, providing access to personnel and records.
