Pending Legislation definition

Pending Legislation means H.R. 1365 or S. 612, as modified or amended, their successors, or substitutes in substantially the same form, and any other legislation passed by either House of the U.S. Congress or approved by either the Ways and Means Committee of the U.S. House of Representatives and/or the Finance Committee of the U.S. Senate, any other legislation introduced after April 1, 1997 by the Chairman of such Ways and Means Committee and/or the Chairman of such Finance Committee or considered by either such Committee in hearings or mark-▇▇ after April 1, 1997, any joint announcement after April 1, 1997 by the Chairman of such Ways and Means Committee and/or the Chairman of such Finance Committee of an intention to introduce legislation which, if enacted, would impose Taxes, excluding Taxes Newco has agreed in writing to Agree To Pay (as defined in Section 6.11(a)) on the Company, Newco and/or any of
