Pending Lawsuits definition

Pending Lawsuits means the following lawsuits: (i) Derivative and Class Action Complaint, ▇▇▇▇▇▇▇ ▇▇▇▇▇▇ v. ▇▇▇ ▇▇▇▇▇, et al., No. CV-12-792421 (Cuyahoga County, Ohio Ct. Com. Examples of Pending Lawsuits in a sentence

  • For the avoidance of doubt, no statement herein with respect to Pending Lawsuits or other similar lawsuits alleging breach of fiduciary duties (or related causes of action) by American Greetings or its directors, officers or principal stockholders or disclosure violations in connection with the Merger Agreement shall be deemed an admission that any such Pending Lawsuit or similar lawsuit is applicable to this Section 3.7.

  • The Company will not incur any liability arising out of any of the Pending Lawsuits.

  • All parties to this Agreement acknowledge that they (i) have been represented by counsel in negotiating this Agreement; (ii) have read, and understand all of the terms and conditions of this Agreement and the consequences thereof; (iii) have knowingly and voluntarily entered into this Agreement; and (iv) have initiated no legal proceedings related to the instant dispute other than the Pending Lawsuits.
