Pending Class Action definition

Pending Class Action means all class action lawsuits currently pending in the United States Courts, including but not limited to the United States District Court of the Southern District of New York and the United States District Court of the Northern District of California, against the Company and/or its directors and officers that were brought by investors who purchased or otherwise acquired the Company’s securities.

  • MANAGER shall notify SERS within five (5) business days of its receipt of a Notice of Pending Class Action or Notice of Class Action Settlement in which SERS is or may be eligible to participate.

  • Such cooperation and assistance by the Executive shall be provided at such times and locations, and in such manner (including, without limitation, testimony in the Pending Class Action), as are mutually agreeable to the Executive and the Company.

Related to Pending Class Action

  • Pending Claims shall have the meaning set forth in Section 7.1(e).

  • Pending Claim has the meaning set forth in Section 9.6 hereof.

  • Class Action means a legal action:

  • Controlling Class means (a) the Outstanding Class A Notes, (b) if no Class A Notes are Outstanding, the Outstanding Class B Notes and (c) if no Class B Notes are Outstanding, the Outstanding Class C Notes.
