Peak IP definition

Peak IP means all patents, trademarks, copyrights, and all other intellectual property rights, and all registrations and applications for any of the foregoing, anywhere in the world, in and to the MONSTER QUEST Peak Toy Series products, concepts, design, trade dress, storylines, characters, backgrounds, and/or inventions, including without limitation, the Peak Trademarks, and all goodwill associated with any of the foregoing, exclusive in all cases of any MEG IP.

Examples of Peak IP in a sentence

  • Peak and LongKey shall disclose to the other, and LongKey shall cause LK-Wuxi to disclose to Peak, the source code and other relevant information relating to any Peak IP or LongKey IP, as applicable.

  • MEG acknowledges and agrees that it has no rights to use, or develop any products based on, Peak IP.

  • All rights in the Peak IP not expressly granted herein to LongKey and its LK-Affiliates are retained by Peak.

  • In order to allow LongKey to Provide to China Telecom and China Unicom the Base Package including the Security Module comprising the Peak IP, Peak hereby grants to LongKey and its affiliate LK-Wuxi, subject to the terms and conditions of this Agreement, the non-exclusive, non- transferable right and license to use, execute, copy, display, perform and distribute the Peak IP for the purposes of the development and license to China Telecom and China Unicom subscribers of the Base Package.

  • LongKey and its LK-Affiliates shall not have the right (i) to modify the Peak IP in any way, (ii) to translate or make derivative works of the Peak IP, (iii) to market, distribute, sell or license the Peak IP as a standalone product or otherwise than as a component of Framework 3.0 or (iv) to reverse assemble, reverse compile or otherwise reverse engineer the Peak IP, in whole or in part.
