PE Funds definition

PE Funds means the sum of the following local contributions to pay PE Costs $1.0 million by City, $1.0 million by County, and $3.479022 million by TriMet. These contributions may be revised from time to time by written agreement.

  • A Compliance Certificate executed by Borrower, and any additional information reasonably required by Lender with respect to determining compliance of the PE Funds with the eligibility requirements for Eligible PE Funds, as set forth in Schedule A attached hereto, which Compliance Certificate may be prepared in reliance upon the Closing NAV Statement.

  • To Borrower’s knowledge, the Closing NAV Statement (i) is complete and correct in all material respects, and (ii) fairly presents the net asset value of the PE Funds in all material respects.

  • Annexed hereto as Schedule B is an initial list of PE Funds that the Lender has determined satisfy the eligibility criteria for Eligible PE Funds set forth in Sections I through III of this Schedule A.

  • Neither party may assign or transfer, directly or indirectly, its rights or obligations under this letter agreement without the prior written consent of the other except as provided herein; provided that PE may assign its rights and obligations under this letter agreement to any of its affiliate that is controlled by CITIC PE Funds Limited, affiliated funds and co-investors or limited partners (as the case may be).

  • Schedule B may be updated by Borrower from time to time to include in the Static PE Fund Pool such additional PE Funds in which the PMF has an equity interest as may be acceptable to Lender.

  • TriMet agrees to administer the PE Funds by establishing the “PE Account” as provided in this Agreement.
