The information provided by Developer to Owner shall include, without limitation: (i) the identity of the Architects, engineers, designers, General Contractor, major subcontractors and other consultants working on behalf of Developer; and (ii) the identity of key governmental personnel involved in the review and approval of the application for PDR Decision approval for the Project.
To the extent that there is any overlap with respect to the application for the PDR Decision and any other permits and/or application in connection with the Project, Developer shall coordinate with the appropriate governmental agencies in order to pursue those entitlements in an efficient and effective manner.
It shall be a condition to the exercise of the second Extension Option that Developer is then actively pursuing the finalization of the PDR Decision in good faith, and Developer shall continue to actively pursue a final PDR Decision in good faith throughout the second Extension Period.
If any such conditions are, in Developer’s sole discretion, unacceptable to Developer, then for purposes of this Agreement the PDR Decision application shall be deemed to have been denied by the governing jurisdiction and Developer shall have the right to terminate this Agreement as provided below.
If, within the Feasibility Study Period, Developer shall, for any reason in Developer’s sole discretion, or without any reason, disapprove of or be dissatisfied with any aspect of the Real Property or the Project and the economic or logistical feasibility thereof or the feasibility of obtaining the PDR Decision or other necessary or desired Permits, then Developer shall be entitled to terminate this Agreement as provided below.
Developer shall use commercially reasonable, good faith efforts to obtain the PDR Decision in a timely manner.
For purposes of clarity, and in addition to the application for the PDR Decision, Developer may make application for and shall have the right to pursue (at Developer’s Cost) any other Permits as may be necessary or desirable in connection with the Project.
Owner and Developer acknowledge that a PDR Decision authorizing the design and construction of the Project must be obtained in order to develop the Project.
It shall be a condition to the exercise of the first Extension Option that Developer is then actively pursuing the finalization of the PDR Decision in good faith, and Developer shall continue to actively pursue a final PDR Decision in good faith throughout the first Extension Period.
It shall be Developer’s responsibility to apply for and obtain the PDR Decision approval and any other related Permits, at Developer’s sole cost and expense, including the preparation of any and all required architectural and schematic drawings, studies, reports and other application materials.
