PCS PAR PARTNERSHIP. AGREEMENT shall mean that certain Amended and Restated Agreement of Limited Partnership of PCS Par, entered into under the Delaware RULPA by and between ATI and USW, dated as of the date hereof, a copy of which is appended hereto as ATTACHMENT 1.74, as amended, modified or supplemented from time to time.
