PCHI has all Governmental Authorizations relating to the ownership of the Acquired Assets and operation of the Business as are necessary and required for such ownership and operation, except where the failure to obtain such Governmental Authorizations would not have a material adverse effect on the ownership of the Acquired Assets or the operation of the Business.
