This Agreement has been duly authorized and validly executed and delivered by each of the PCEC Parties.

The above prohibitions and bans may be time-limited or permanent, at the discretion of the PCEC.
For purposes of this Article XI, PCEC (on the one hand) and the Trust and the Trustee (on the other hand) shall each be entitled to the selection of one arbitrator.
None of the PCEC Parties or any of the Partnership’s subsidiaries is a party to any contract, agreement or understanding with any person (other than this Agreement) that would give rise to a valid claim against any of them or the Underwriters for a brokerage commission, finder’s fee or like payment in connection with the offering and sale of the Units.
