The PBSJ Corporation (“PBSJ Corp.”) shall mean and include for purposes of this Agreement The PBSJ Corporation, a Florida corporation, and its predecessors, successors, parents, subsidiaries or affiliates.

Notwithstanding the foregoing, Seller shall not be obligated to request an SNDA from any tenant of the IBM Property other than IBM and PBS&J.

This obligation shall extend to remarks concerning PBSJ, its members, partners, shareholders, employees, officers and directors.
PBSJ shall, on or before September 30, 2009, pay ▇▇▇▇▇▇▇ the sum of $1,250,000 (the “Settlement Payment” for his stock notes) by wire transfer to ▇▇▇▇▇▇▇ ▇.
Make any loan or advance or extend credit to any Person except to (i) Affiliates of Borrower (ii) employees of Borrower, in the ordinary course of Borrower's business, not to exceed in the aggregate One Hundred Thousand Dollars ($100,000.00); and (iii) employees of Borrower and its Subsidiaries in connection with the purchase by such employees of PBSJ capital stock.
