PBI Returns definition

PBI Returns shall have the meaning as set forth in Section 3.6(a) hereof.
PBI Returns means all reports, estimates, declarations of estimated tax, information statements and returns relating to, or required to be filed in connection with, any PBI Taxes, including information returns or reports with respect to backup withholding and other payments to third parties.
PBI Returns has the meaning given to the term in Section 3.7(e) of this Agreement.

Examples of PBI Returns in a sentence

  • No claim has ever been made by a taxing authority in a jurisdiction where PBI does not currently file PBI Returns that PBI is or may be subject to taxation by that jurisdiction.

  • There has been no Tax audit or other administrative proceeding or court proceeding with regard to any Taxes or PBI Returns, nor is any such Tax audit or other proceeding pending, nor has there been any notice to PBI by any Taxing authority regarding any such Tax audit or other proceeding, or, to the Knowledge of PBI, is any such Tax audit or other proceeding threatened with regard to any Taxes or PBI Returns.

  • HBI and each HBI Subsidiary shall file all HBI Returns, and PBI and each PBI Subsidiary shall file all PBI Returns, required to be filed by them, respectively, on or before the date such returns are due, including any extensions, and pay all taxes shown to be due on such returns on or before the dates such payments are due, except those being contested in good faith.

  • All PBI Taxes shown to be due and payable on the PBI Returns or on subsequent assessments with respect thereto have been paid in full or adequate reserves have been established in the PBI Financials for the payment of such PBI Taxes, except where any such failure to pay or establish adequate reserves, in the aggregate, has not had, and is not reasonably likely to have, a Material Adverse Effect on the PBI Companies.
