On or before December 31, 2010, the Falcon Loan shall be paid in full using the proceeds of the PBC Loans and the Cash Reserve.
If the entire principal amount of the PBC Loans are converted into equity, then the PBC Loans shall be considered paid in full and the Borrower shall have no further obligations to repay any PBC Loans hereunder and neither PBC Digital nor PBC Macquarie shall have any further obligations to make any Loans hereunder.
If a portion of the PBC Notes issued in connection with this Agreement are converted into equity in accordance with the terms of the PBC Notes, then the principal amount of the PBC Loans that are converted into equity shall be considered paid and full and the Borrower shall have no further obligations to repay the principal amount of the PBC Loans that are converted in to equity pursuant to the PBC Notes.
