Upon the happening of one of the events set forth in the immediately preceding sentence, PBBC agrees to promptly execute a modification of the Reimbursement Agreement to confirm such amendment.

To the Knowledge of PBBC, no representation or warranty by PBBC in this Agreement (including, without limitation, the Disclosure Schedules) contains any untrue statement of a material fact or omits or will omit to state any material fact necessary to make the statements herein or therein not misleading.
Other than PBBC, and the named tenants or subtenants described in the leases contained on Schedule 4.4(c), there are no parties in possession or parties having any rights to occupy all or any portion of the Facility.
In that regard, Sleepmaster hereby acknowledges that PBBC has made no investigation to determine whether there is radon gas or other environmental pollutants in, on or about the Facility and/or the buildings upon the Facility or affecting such buildings, although such conditions may exist.
