PBB Financial Statements means (i) the audited statements of financial condition (including related notes and schedules, if any) of PBB as of December 31, 2010 and 2009 and the statements of operations, stockholder’s equity and cash flows (including related notes and schedules, if any) of PBB for each of the three years ended December 31, 2010 and 2009, (ii) the statements of financial condition (including related notes and schedules, if any) of PBB as of September 30, 2011 and the statements of operations, stockholder’s equity and cash flows (including related notes and schedules, if any) of PBB for the nine months ended September 30, 2011, and (iii) the statements of financial condition of PBB (including related notes and schedules, if any) and the statements of operations, stockholder’s equity and cash flows (including related notes and schedules, if any) of PBB with respect to the monthly, quarterly and annual periods ending subsequent to September 30, 2011.

PBB Financial Statements means (i) the audited statements of financial condition (including related notes and schedules, if any) of PBB as of December 31, 2016, 2015 and 2014 and the statements of operations and comprehensive income, shareholders’ equity and cash flows (including related notes and schedules, if any) of PBB for each of the three years ended December 31, 2016, 2015 and 2014, (ii) the unaudited statements of financial condition (including related notes and schedules, if any) of PBB as of September 30, 2017 and the unaudited statements of operations and comprehensive income and shareholders’ equity (including related notes and schedules, if any) of PBB for the three and nine months ended September 30, 2017, and (iii) the statements of financial condition of PBB (including related notes and schedules, if any) and the statements of operations and comprehensive income and shareholders’ equity (including related notes and schedules, if any) of PBB with respect to the monthly, quarterly and annual periods ending subsequent to September 30, 2017.

Initial Financial Statements means (a) the audited annual Consolidated financial statements of Borrower dated as of December 31, 2009, and (b) the unaudited quarterly Consolidated financial statements of Borrower dated as of March 31, 2010.
Audited Financial Statements means the audited consolidated balance sheet of the Borrower and its Subsidiaries for the fiscal year ended December 31, 2017, and the related consolidated statements of income or operations, shareholders’ equity and cash flows for such fiscal year of the Borrower and its Subsidiaries, including the notes thereto.
Buyer Financial Statements shall have the meaning set forth in Section 4.6.
Unaudited Financial Statements has the meaning set forth in Section 3.4(a).
Closing Financial Statements has the meaning set forth in Section 6.22.
Historical Financial Statements means the audited consolidated balance sheets of the Borrower as of December 31, 2006 and December 31, 2005 and the audited consolidated statements of income, stockholders’ equity and cash flows of the Borrower for each of the fiscal years in the three year period ending on December 31, 2006.
Annual Financial Statements has the meaning set forth in Section 3.06.
Statutory Financial Statements means, with respect to any Party, the annual and quarterly statutory financial statements of such Party filed with the Governmental Authority charged with supervision of insurance companies in the jurisdiction of domicile of such Party to the extent such Party is required by Applicable Law to prepare and file such financial statements.
Year-End Financial Statements has the meaning set forth in Section 3.06.
Purchaser Financial Statements shall have the meaning specified in Section 4.8.1.
Original Financial Statements means the audited consolidated financial statements of the Company for the year ended 31 December 2012.
Monthly Financial Statements is defined in Section 6.2(c).
