Payment Share definition

Payment Share means Shares, Restricted Stock, Restricted Stock Units or Other Share-Based Awards granted solely in lieu of the cash payment of the employee-deferral portion (and the earnings on such portion) of a Participant’s account under a nonqualified deferred compensation plan or similar arrangement of the Company, on a dollar-for-dollar basis based on the Fair Market Value of such Shares, Restricted Stock, Restricted Stock Units or Other Share-Based Awards at the time of payment; for the avoidance of doubt, a “Payment Share” shall not include any grant made in payment of any Company contribution (or the earnings thereon) under a nonqualified deferred compensation plan or similar arrangement of the Company regardless of whether such payment is made in lieu of cash.
Payment Share means, with respect to a particular Lender at a particular time, the ratio of Outstanding Accommodation of such Lender at such time to the aggregate of Outstanding Accommodations of all of the Lenders at such time.
Payment Share of any Borrower shall be the product of (a) the aggregate amount of such Joint Obligations remaining unpaid on the date such Joint Obligations become due and payable in full, whether at stated maturity, acceleration, or otherwise (the "Determination Date"), times (b) a fraction, the numerator of which is the balance of all moneys and consideration directly or indirectly advanced to or received by such Borrower pursuant to this Agreement net of all repayments thereof made by such Borrower, measured as of the Determination Date, and the denominator of which is the aggregate of all moneys and other consideration directly or indirectly advanced to or received by all Borrowers (other than the Underpaying Borrower) under this Agreement, net of all repayments thereof by all such Borrowers measured as of the Determination Date.
