Payment Grid definition

Payment Grid means, with respect to each Lender, the Payment Grid (as defined in the Note issued to such Lender at the applicable Initial Closing).
Payment Grid. All borrowings evidenced by the Revolving Credit Note and all payments and prepayment of the principal hereof and interest hereon and the respective dates thereof shall be endorsed by the Bank on the schedule attached hereto and made a part hereof, or on a continuation thereof which shall be attached hereto and made a part hereof, or otherwise recorded by the Bank in its internal records; provided, however, that the failure of the Bank to make such notation or any error in such notation shall not in any manner affect the obligation of the Debtors to make payments of principal and interest in accordance with the terms of the Revolving Credit Note, as modified by this Agreement, and the Credit Agreement. This Note may not be changed, modified, or terminated orally, but only by an agreement in writing signed by the Debtors or any successors or assigns of the Debtors and the Bank or any holder hereof. Examples of Payment Grid in a sentence

  • Subject to the terms and conditions of this Agreement, at the Option Closing each Lender agrees to pay the Company the Option Consideration set forth opposite such Lender’s name on Schedule C hereto, and the Company agrees to deliver to each Lender an updated Payment Grid reflecting such Lender’s payment of the Initial Consideration and the Option Consideration.

  • The failure of the holder hereof to note the principal amount of any partial redemption on the Payment Grid attached hereto, or any inaccuracy therein, shall not affect the payment obligation of the Authority hereunder.

  • An authorized officer or director of the Company shall record Advances on the Payment Grid.

  • So long as the Series 2019 Bonds shall be maintained in book-entry form with a Securities Depository (as defined in the Trust Agreement) in accordance with the Trust Agreement, in the event that part, but not all, of this bond shall be called for redemption, the holder of this bond may elect not to surrender this bond in exchange for a new bond and in such event shall make a notation indicating the principal amount of such redemption and the date thereof on the Payment Grid attached hereto.

  • The failure to record any Advance on the Payment Grid shall not limit the obligation of the Company to repay such Advance and interest pursuant to the terms of the Purchase Agreement and this Note.

  • The aggregate unpaid principal amount of the Note set forth in the Note and such Payment Grid or as evidenced by the books and records of the Initial Lender or any subsequent holder of this Term Note shall be, absent demonstrable error, conclusive and binding evidence of the principal amount owing and unpaid on the Note.

  • Additional Study Participants beyond the number specified in the Payment Grid may be allowed upon prior written approval by Sponsor.

  • Payment Ahead means, with respect to a Precomputed Receivable and a Collection Period, any Excess Payment (not representing, when added to any Deferred Prepayment with respect to such Precomputed Receivable, a prepayment in full of such Precomputed Receivable) which the Servicer, in accordance with its customary servicing practices, will apply towards the payment of Scheduled Payments due in one or more future Collection Periods.

  • Grenfell Tower support payment means a payment made to a person because that person was affected by the fire on 14th June 2017 at Grenfell Tower, or a payment to the personal representative of such a person—

  • First Level Support means a) delivery of standard answers to commonly recurring questions and b) assisting with application-related issues arising during day-to-day use of the system and c) first point of contact for technical questions concerning a purchased deliverable.

  • Payment Amount has the meaning specified in Section 6.1.

  • Delta Payment means as it is described in this Agreement.
