The Agreement (including the operation of these Sponsored Merchant Terms and Conditions) may be terminated by PXP at any time in accordance with the Payment Facilitator Agreement or based on a breach of any of Merchant’s obligations under the Agreement or the Sponsored Merchant Agreement or upon the insolvency of Sponsored Merchant or a breach of the Scheme Rules by Sponsored Merchant or as otherwise directed by the Card Schemes.
This Payment Facilitator Agreement shall bind the Sponsored Merchant and SmartBill upon the acceptance of a signed Sponsored Merchant Application signified by the submission of underwriting documentation prepared by SmartBill and the issuance of a Merchant Identification Number by the Acquirer, and shall continue until either party gives at least thirty (30) days prior written notice to the other party, unless terminated earlier as provided for in the ASM Agreement.
The SmartBill Payment Facilitator Agreement (“Agreement”) provides the specific terms and conditions under which SmartBill will provide merchant payment services to the Sponsored Merchant.
This Agreement will be coterminous with the Payment Facilitator Agreement unless terminated earlier by ▇▇▇▇▇▇.

The Agreement, the Payment Facilitator Agreement, and any amendment or supplement to them constitute the entire agreement between the parties, and all prior or other agreements, written or oral, are superseded by the Agreement.
In the event of any inconsistency between any provision of Payment Facilitator Agreement, the Acquirer Sponsored Merchant Agreement and the Payment Networks Regulations, the Payment Networks Regulations will prevail.
