Payment Events definition

Payment Events. The events after which Contractor can issue invoices for the Charges, as described in Section 3.1 and Exhibit A.

Examples of Payment Events in a sentence

  • Within three (3) Business Days of the receipt by the Parent or any of its Subsidiaries of any Net Proceeds from a Contingent Payment Event under a Loyalty Program Agreement, which Net Proceeds, together with the aggregate amount of Net Proceeds previously received from Contingent Payment Events, are in excess of $5,000,000, the Borrower shall prepay the Loans in an amount equal to 100% of such Net Proceeds.

  • Contractor has the right to issue an invoice for Services, and Deliverables, including the Module following the Payment Milestones and Payment Events.

  • The payments are made in accordance with the Charges for the Services and Deliverables described in Appendix A, Section 2 for DDI Payment Milestones and Payment Events and Section 3 for Operations Payment Events.

  • Contractor shall have the right to issue an invoice for Services, and Deliverables, including but not limited to the System, following the Payment Events.

More Definitions of Payment Events

Payment Events has the meaning given to that term in Clause 9.2(b);
Payment Events means where the Parties have issued the Rule 2.7 Announcement and this Agreement is terminated in accordance with Clause 9.1: (i) by Bidder pursuant to a Change of Recommendation Termination; (ii) by Target pursuant to a Superior Proposal Termination; or (iii) all of the following occur: (A) this Agreement is terminated (x) by Bidder pursuant to a Target Breach Termination as a result of a material breach or failure to perform any covenant or agreement in this Agreement described in Clause 9.1(a)(iii)(A) that first occurred following the making of a Target Alternative Proposal of the type referenced in the following sub-Clause (B), or (y) by Bidder or Target pursuant to a Non-Approval Termination but if such termination is by Target at such time Bidder would be permitted to terminate this Agreement; (B) prior to the Scheme Meeting, a Target Alternative Proposal was publicly disclosed or announced and not withdrawn (or, in the case of a Target Breach Termination as a result of a material breach or failure to perform any covenant or agreement in this Agreement, was made publicly or privately to the Target Board), or any person shall have publicly announced an intention (whether or not conditional) to make a Target Alternative Proposal that has not been withdrawn (it being understood that, for the purposes of this Clause 9.2(b)(iii)(B) each reference to 20% set forth in the definition of Target Alternative Proposal will be deemed to refer to 50%); and (C) (x) a Target Alternative Proposal is consummated within 12 months after such termination, or (y) a definitive agreement providing for a Target Alternative Proposal is entered into within 12 months after such termination and is subsequently consummated.
Payment Events. The events after which Contractor can issue claims forms for the Charges, as described in Exhibit A.
Payment Events. A scheduled cyclical payment set by DHS for a vendor to submit a request for payment for review and approval. A payment event includes all deliverables eligible for payment. Deliverables eligible for payment are those deliverables that have been approved by DHS and have not yet been submitted for approval.
Payment Events means those events that permit a payment to be made to a Participant or his Beneficiary from this Plan. Such payment events are limited to the following occurrences: (a) Death, (b) Disability (c) Attainment of Normal Retirement Date coupled with Separation from Service, (d) Separation from Service with a vested benefit of less than $10,000 in lump sum; (e) Plan Termination in accordance with Section 14.2; (f) Bankruptcy or dissolution of the Company; (g) Separation from Service within 24 months following a Change of Control.
Payment Events means the events set forth in the Payment Schedules attached as Appendix A11a, which, when achieved, will permit the Contractor to apply for payment in accordance with Section 18.4 (Invoices).
