Purchaser shall pay to Seller an amount equal to 75% of the pre-tax net income of the Investment Banking Business (the "Quarterly Earnout Payments") from the Closing Date until September 30, 2002, unless Parent or Purchaser exercises its Put Right pursuant to Article 12, in which case the Quarterly Earnout Payments shall cease on the date of closing under the Put Right, whether before or after September 30, 2002 (the "Quarterly Payment Cessation Date").
