For purposes of clarification, upon the expiration of the rights of TWC’s Pay Television Service in a Picture following a withdrawal, the License Term in the Pay TV Rights shall expire, and TWC’s Pay TV Rights in such Picture shall also terminate (and TWC’s lien solely in the Pay TV Rights for such Picture shall terminate; provided that TWC shall remain entitled to receive its fee on any Pay TV GR for such Picture).
Notwithstanding anything herein, TWC and/or TWC’s Pay Television Service shall have the right to down-convert, scale, up-convert, pan and scan, center cut or alter the resolution of each Picture.
TWC shall have the right to notify Licensor at any time that any Eligible Picture or Picture is withdrawn from TWC’s Pay Television Service for legal or liability reasons as reasonably determined by TWC in TWC’s good faith judgment.
Licensor shall not exhibit nor authorize third parties to exhibit such Program (i.e., Season 1 only) within the Territory in the Licensed Language by means of (a) Free Broadcast Television, Basic Television Service, Subscription Pay Television Service, Pay-Per-View Basis or FOD/AVOD howsoever delivered prior to or during such Program’s License Period, or (b) SVOD howsoever delivered prior to August 31, 2012.
Likewise, Pay Television subscribers who are given the opportunity to access ▇▇▇ at no additional charge, but who do not actually authenticate their Pay Television Service subscription or otherwise 'opt in' to access the Max platform, shall not be included as Max subscribers.
For purposes of clarification, STE shall have the right to offer a preview of the SOD service only if (A) such preview is concurrent with a preview of the STE Pay Television Service to which such SOD service relates or (B) such preview is offered only to consumers that are already subscribers to the STE Service to which such preview relates.
The parties acknowledge that certain customary terms and conditions exist (as the same may be amended, extended, and/or restated) between TWC and TWC’s Pay Television Service including, without limitation, as to items to be delivered in connection with each Picture; use of company names/logos in connection with exploitation of the Pay TV Rights; representations, warranties and indemnities to be given to TWC’s Pay Television Service as to the rights in and to the Pictures; and events of force majeure.
The number of subscribers to Max for purposes of the Sideletter on Literary Material Written for Programs Made for New Media shall include those who subscribe to Max directly, as well as those who access Max by authenticating their Pay Television Service and logging in to the Max platform.1 “Subscribers to the Pay Television Service who are not offered access to Max through their third-party video distributor, and who do not subscribe directly to Max, will not be included as a Max subscriber.
Notwithstanding the foregoing, Licensor shall, upon no less than ninety (90) days prior written notice to Licensee, have the right to carve out an exclusive window to interrupt the License Period for any Program for a window for a Subscription Pay Television Service (“Licensor Window”) of not more than sixteen (16) months.
Without limitation of the foregoing, TWC agrees upon Licensor’s written request to ask TWC’s Pay Television Service to approve a modification to the credits allowing Licensor’s credit to appear in first position.
