Passive Members definition

Passive Members shall have the meaning set forth in Section 10.02(a).
Passive Members means ▇▇▇▇▇▇▇ & ▇▇▇▇▇▇ LLP and ▇▇▇▇▇ ▇▇▇▇▇▇, who are all of the non-employee members of Company.

Examples of Passive Members in a sentence

  • Such sale by the Passive Members, however, shall not occur earlier than ten (10) days after delivery of the Purchaser Notice and only simultaneously with and subject to the Underlying Transaction.

  • Together, the Sellers and the Passive Members collectively own 100% of the issued and outstanding Securities in the Company.

  • However, and notwithstanding anything to the contrary in this Agreement, any indemnification by the Passive Members shall be limited to the distribution of Merger Shares from the escrow pursuant to the Escrow Agreement during the period the Merger Shares are held in the escrow and the Passive Members shall not otherwise be liable for any indemnification pursuant to this Agreement.

Related to Passive Members

  • New Members As Defined By the Public Employees’ Pension Reform Act of 2013 (PEPRA)

  • Class B Members means the Members holding Class B Units.

  • Team Members means the members of the Team, jointly and severally;

  • the Members means the members of the Club admitted from time to time to membership of the Club in accordance with Rule 5;

  • Voting Members has the meaning set forth in Section 4.07(b).
