Operator shall maintain a written cleaning protocol which shall be subject to review and approval by the Department, and which shall include sanitization of the passenger compartment and all “touch points” immediately prior to each Passenger Trip.
CRUISES shall submit, on a weekly basis, on a form approved by DISTRICT, a Trip and Tariff Report (“Report”), certifying vessel calls, Passenger Trip counts and such other information reasonably required by DISTRICT, and stating all amounts due under this Agreement and the Tariff of the District.
The Minimum Annual Passenger Trip Counts established hereunder shall begin to be calculated on the first day of the first Agreement Year.

In considering such approval, DISTRICT, in its sole discretion, may consider sailing schedules of other operators (both passenger and cargo operators), the cost of accommodating other Port users who may impose financial or operating restrictions on DISTRICT in exchange for waiving or modifying such other operators/users rights, and may result in renegotiation of Passenger Trip Charges, Marketing Contribution, Dockage charges, parking rates (and revenue sharing thereof) and other charges.
Passengers loaded and unloaded and sailings in the Short Month i) shall not count against Minimum Annual Passenger Trip Count, Minimum Monthly Passenger Trip Count or Minimum Sailings applicable to the first Agreement Year, ii) shall not be taken into account in the “Shortfall Passenger” calculation under Section 10d), and iii) no Marketing Contribution is due with respect to Port Passenger Charges during the Short Month.
