Pass-Through Component definition

Pass-Through Component has the meaning set forth in Section 5.02(b).
Pass-Through Component shall have the meaning as set forth in Clause 11.1.1; “Payment Due Date” shall have the meaning as set forth in Clause 12.1.2;
Pass-Through Component means, if the proposed Generation Capacity Resource is offered on a Fixed/Indexed basis, Respondents may offer certain components of capital costs on a “pass-through” basis from the Respondent if such costs can not be determined until after the completion of certain analyses, such as gas or electric interconnection studies. In this case, the estimated capital cost of the items to be passed through must be provided in detail, along with a description of all assumptions regarding scope, level of confidence and other factors.

Examples of Pass-Through Component in a sentence

  • Provided Tenant has exercised the Additional Surrender Option as aforesaid, upon not less than six (6) months notice to Tenant of the amount thereof, accompanied by reasonable supporting calculations (but not earlier than the first day of the eleventh Lease Year), time being of the essence with respect to such date, Tenant shall pay to Landlord the Pass-Through Component.

  • The Pass-Through Component is that portion of the Service Fee comprised of the Contractor's Pass-Through Costs.

  • The Service Fee has four components: the Fixed Component, the Variable Component, the Transport Component and the Pass-Through Component.

  • In the case of the periodic Disposal Fee adjustments, Contractor shall submit, no later than October 1st, prior to January 1st in which such changes are to be effective, written verification of the specific costs (listed separately) comprising the then-current Pass-Through Component, and indicate if they have increased, decreased, or remained the same.

  • Authority shall adjust the Pass-Through Component at a time other than during an annual adjustment period if the adjustment to the Pass-Through Component would result in a Significant adjustment to the Service Fee Pass-Through Component.

  • The Pass-Through Component is subject to adjustment only as necessary to reflect changes in Pass-Through Costs required by third parties as provided in Section 8.03, or as the result of a Change in Law as provided in Article 9.

  • The Pass-Through Component as of the Operating Date of this Agreement is provided in Exhibit 1.

Pass-Through Component means (i) the number of shares of Purchaser Common Stock, rounded to the nearest full share, equal to the Cash Balance divided by the Actual Average Closing Stock Price (the "Cash Pass-Through Shares"), (ii) the Cash Portion, (iii) the Advance Escrow Amount and (iv) the Tax Refund Amount.

Related to Pass-Through Component

  • Pass-Through Rate For any interest bearing Class of Certificates or Component, the per annum rate set forth or calculated in the manner described in the Preliminary Statement.

  • Class C Pass-Through Rate For any Distribution Date, a per annum rate equal to the WAC Rate for such Distribution Date.

  • Pass-Through Costs means costs incurred directly by Jazz that are passed-through to Air Canada and fully reimbursed under the CPA;

  • Class X-D Pass-Through Rate For any Distribution Date, the weighted average of the Class X Strip Rates for the Class X-D Components for such Distribution Date (weighted on the basis of the respective Component Notional Amounts of such Components outstanding immediately prior to such Distribution Date).
