If the Grant Agreement - is not signed by the Funding Authority or a Party, or - is terminated, or if a Party's participation in the Grant Agreement is terminated, this Consortium Agreement shall automatically terminate in respect of the affected Party/ies, subject to the provisions surviving the expiration or termination under Section 3.3 of this Consortium Agreement.

Each Party is responsible for the safe operation of its Network and shall take all reasonable and necessary steps in its operation and implementation of this Agreement to ensure that its network does not: - Endanger the safety or health of employees, contractors, agents or customers of the other Party; or - Damage, interfere with or cause any deterioration on the operation of the other Party’s Network.

If the Grant Agreement - is not signed by the Funding Authority or a Party, or - is terminated, - or if a Party's participation in the Grant Agreement is terminated, this Consortium Agreement shall automatically terminate in respect of the affected Party/ies, subject to the provisions surviving the expiration or termination under Section 3.3 of this Consortium Agreement.

Pursuant to each Party's domestic legislation, and provided that there is sufficient prima-facie evidence to justify such initiation as determined below, a Party may initiate a bilateral safeguard investigation: - at the request of the domestic industry or of a trade and business association acting on behalf of domestic producers of the like or directly competitive products in the importing Party or Signatory Party, or - at the request of one or more of its Member States.

It requires that the requested country “take measures to identify, trace and freeze or seize proceeds of crime” as well as instrumentalities “for the purpose of eventual confiscation to be ordered either by the requesting State Party or .

Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

Biochemical Oxygen Demand (BOD) shall mean the quantity of oxygen utilized in the biochemical oxidation of organic matter under standard laboratory procedure, as prescribed in "Standard Methods", in five days at 20 degrees Celsius, expressed in milligrams per liter.
Responsive Proposal means a Proposal that complies with the material provisions of this RFP.
Responsive Offeror means the Offeror who submits a Proposal that conforms in all material respects to this Request for Proposals, Instruction to Offerors and the Plans and Specifications which are incorporated herein by this reference.
Third-Party Lender means an entity that originated a loan to a consumer for the purchase of a motor vehicle and sold the loan to AmeriCredit or an Originating Affiliate pursuant to an Auto Loan Purchase and Sale Agreement.
Collaboration Know-How means Know-How that is within the Collaboration Intellectual Property.
Party(ies) means the Commission and/or the Contractor, as the context requires.
