The Recipient must obtain all necessary copyright and other Intellectual Property Right permissions before making any Pre-Existing Recipient Material or Third Party Material available as a part of the Agreement Material or Activity.
Third Party Material (including without limitation quotations, photographs, pictures, diagrams, drawings, tables, graphs or maps, and whether reproduced from print or electronic or other sources) may only be included in the Contribution with the prior agreement of the Publisher.
Infocus hereby assign to you with full title guarantee the copyright and all other intellectual property rights in the Client Film together with all the footage from the Filming Day, other than any Third Party Material or existing material owned by or licensed to Infocus.

If we or you find a reproducible defect in any Third Party Materials forming part of the Product, as your sole remedy, where commercially reasonable to do so, we may exercise any rights we may have in respect of the replacement or modification of that Third Party Material, under warranties granted to us by the manufacturer of the Third Party Material (if any).
The Recipient must provide Third Party Material necessary or appropriate to perform its obligations under this Agreement.
For the purposes of this Clause 22, Agreement Material includes any Pre-existing Recipient Material and Third Party Material to the extent that it is included in, forms part of or is attached to the Agreement Material.
GRDC acknowledges that reasonable enquiries in respect of patents does not extend to public prior art searches, but the Research Organisation will notify GRDC as soon as practicable after becoming aware of any third party patent rights which may prevent the use of Background Material or Third Party Material as contemplated by this clause 6.2(a).
Third Party Material Material owned by a third party that is: (a) included, embodied in or attached to the Agreement Material; or (b) used in undertaking the Project.
This Clause 21 does not affect the ownership of the Intellectual Property Rights in any DFAT Material, Pre-existing Recipient Material or Third Party Material.
