Partnership Placement Fees definition
Partnership Placement Fees shall have the meaning set forth in Section 5.2(c). Partnership Representative shall have the meaning set forth in Section 10.15(a).

Notwithstanding anything in this Agreement to the contrary, the amount of management fee payable pursuant to Section 5.1 shall be reduced on a dollar-for-dollar basis by the amount of Partnership Placement Fees borne by the Partnership pursuant to Section 5.2(c).
In addition to the foregoing, the Partnership shall bear all placement fees incurred in connection with the offer sale and/or syndication of limited partnership interests in the Partnership (collectively “Partnership Placement Fees”), and such Partnership Placement Fees shall not be considered part of the organization costs, fees and expenses described in the preceding sentence.
