  • In addition, if the General Partners shall so fail to pay, the General Partners and their Affiliates shall forthwith cease to be entitled to the Annual Partnership Management Fee, and to the payment of any Cash Flow or Capital Transaction proceeds to which they may otherwise be entitled hereunder.
