Partner Terms definition

Partner Terms means the license agreement or terms of service specified by the Partner, including any terms of use applicable during trial periods and any privacy policies, applicable to the Partner Products, and entered into between Partner and Customers. If the Partner does not designate any applicable terms, the Standard Free Partner Terms (set forth at the end of this Agreement as Exhibit A.) will apply to Partner Products made available for free or during the trial period, and the Standard Partner Terms will apply to Partner Products made available for charge, except that Standard Free Partner Terms and Standard Partner Terms will not apply to Professional Services, which may only be provided by Partner subject to Customer’s acceptance of Partner’s custom professional services terms.

• The Partner violates or breaches any provision of the General Partner Terms & Conditions.

• In such event, such provision shall be changed and interpreted so as to best accomplish the objectives of such provision within the limits of applicable law or applicable court decisions, or if necessary to maintain the validity of the remaining terms, removed from the Partner Terms.

• Partner may not assign these Partner Terms, by merger, operation of law or otherwise, without the prior wrien approval of Wazuh.

• Partner shall not, and shall not cause, encourage or assist any third party to: (a) access or use the Oerings: in excess of, or beyond the term of, the Partner Terms and/or other restrictions/limitations described in an Order or the Guide, (b) conduct any benchmark, stress tests or other review or analysis for the purpose of competing with Wazuh.

• In the event that any provision of these Partner Terms shall be unenforceable or invalid under any applicable law or be so held by applicable court decision, such unenforceability or invalidity shall not render these Partner Terms unenforceable or invalid as a whole.

• The Sections entitled, Ownership of Trademarks, Intellectual Property and Restrictions Confidentiality, Warranty Disclaimer, Indemnification, Limitation of Liability, Rights Upon Termination, Survival and Miscellaneous shall survive expiration or termination of these Partner Terms for any reason.

• Except as otherwise expressly permied or restricted under these Partner Terms, Partner’s use of the Wazuh Products shall be subject to the support agreement accompanying such Oering.

• Except for the limited license(s) expressly granted to Partner in the Partner Terms, all right, title and interest in and to the Oerings, including the concepts and technology inherent in the Oerings and deliverables, all Intellectual Property Rights related thereto, shall at all times remain relative to Partner, the sole and exclusive property of ▇▇▇▇▇.
