Partial Lot definition

Partial Lot shall have the meaning set forth in Section 9.3.
Partial Lot has the meaning specified in Section 9.7.2.

Examples of Partial Lot in a sentence

  • In addition, Sellers and Buyer shall identify any Partial Lots included in the Inventory and shall specify the percentage of each such Partial Lot that has been sold by Sellers and the percentage remaining to be sold by Buyer.

  • Notwithstanding the foregoing, in the event Buyer receives Product from lots that include Product that was sold by Seller or its Affiliates prior to the Closing (each a "Partial Lot"), Seller shall be responsible for all returns of Product included in such Partial Lot (regardless of who sold such Product).

  • Notwithstanding the foregoing, in the event Buyer receives Products from lots that include Products that were sold by the Seller prior to the Closing (each a “Partial Lot”), the Seller shall be responsible for all returns of Products included in such Partial Lot if sold by Seller, and the Buyer shall be responsible for all returns of Products included in such Partial Lot if sold by Buyer.

  • Notwithstanding the foregoing, in the event Seller delivers Product to Purchaser from lots that include Product that was sold by Seller prior to the Closing Date (each referred to herein as a "Partial Lot"), Purchaser and Seller will each be responsible for one half of the credit liability associated with returns of Product included in such Partial Lot (regardless of who sold such Product).

  • Notwithstanding the foregoing, in the event that there are returns from Inventory sold by Purchaser to customers from lots that also include Product that was sold by Seller prior to the Closing Date (each referred to herein as a “Partial Lot”), Seller and Purchaser will each be responsible for one-half of the credit liability associated with returns of Product included in such Partial Lot (regardless of which Party sold such Product).

  • It is acknowledged and agreed that a single Purchase Order may be subject to Split Lot Charges as well as Partial Lot Charges.

  • Prior to the Closing Date, Lilly will deliver to ▇▇▇▇▇ a written report identifying the number of Partial Lots, identifying the make-up of each Partial Lot and the amount of each such Partial Lot sold prior to the Closing Date and other information as ▇▇▇▇▇ may reasonably require.

Related to Partial Lot

  • Partial Loss means, with respect to any ACS Group Aircraft, any event or occurrence of loss, damage, destruction or the like which is not a Total Loss.

  • Residential Lot means a lot, the use of which is limited by law, covenant, or otherwise to primarily residential or recreational purposes.

  • Partial closure means the closure of a hazardous waste management unit in accordance with the applicable closure requirements of 35 Ill. Adm. Code 724 or 725 at a facility that contains other active hazardous waste management units. For example, partial closure may include the closure of a tank (including its associated piping and underlying containment systems), landfill cell, surface impoundment, waste pile, or other hazardous waste management unit, while other units of the same facility continue to operate.

  • Partial Payment means a payment that is insufficient to discharge all amounts then due and payable under the Finance Documents.

  • Premises Partial Damage means damage or destruction to the Premises, other than Lessee-Owned Alterations and Utility Installations, the repair cost of which damage or destruction is less than fifty percent (50%) of the then Replacement Cost (as defined in Paragraph 9.1(d)) of the Premises (excluding Lessee-Owned Alterations and Utility Installations and Trade Fixtures) immediately prior to such damage or destruction.
