Partial Hedge Counterparty definition
Partial Hedge Counterparty means each financial institution with which the Issuer enters into a Partial Hedge Transaction or any permitted assignee or successor thereto under the terms of the related Partial Hedge Transaction and in each case which satisfies the applicable Rating Requirement (taking into account any guarantor thereof), and provided always that such financial institution has the regulatory capacity as a matter of Dutch law to enter into derivatives transactions with Dutch residents.
