Partial Cash Settlement Amount definition

Partial Cash Settlement Amount means, in respect of an Undeliverable Obligation, an amount in USD equal to the greater of (i) the product of (a) the Outstanding Principal Balance or Due and Payable Amount, as applicable, of such Undeliverable Obligation (and where the relevant amount is in a currency other than USD, such amount shall be converted to USD at a rate determined by the Calculation Agent in its sole discretion), multiplied by (b) the applicable Relevant Final Price with respect to such Undeliverable Obligation (which shall be subject to a maximum of 100 per cent. of the Outstanding Principal Balance or Due and Payable Amount, as applicable, of such Undeliverable Obligation) and (ii) zero, provided that, where the Calculation Agent determines that a Conversion Event has occurred, the Calculation Agent will determine the Final Price of the relevant Undeliverable Obligation in accordance with the Cash Settlement method and modify such method to the extent necessary to make them compatible with the type and amount of property of such Undeliverable Obligation being so valued and such Undeliverable Obligation shall be treated as having the same currency, Outstanding Principal Balance or Due and Payable Amount, as applicable, as the Valuation Obligation to which it corresponds immediately prior to the Conversion Event. For these purposes the "Relevant Final Price" means the Final Price (as defined in the Credit Annex) (provided that, for such purposes only, the Settlement Method shall be construed as Cash Settlement, the Valuation Date shall be construed as the relevant Partial Cash Settlement Valuation Date and the Valuation Obligation shall be construed as the relevant Undeliverable Obligation).
Partial Cash Settlement Amount means, where the applicable Settlement Method is Physical Settlement, an amount determined by the Calculation Agent equal to the aggregate, for each Undeliverable Obligation, of:
Partial Cash Settlement Amount means, for each Undeliverable Obligation and a Note, the greater of (A) the Outstanding Principal Balance, Due and Payable Amount or Currency Amount, as applicable, of each Undeliverable Obligation, multiplied by the Final Price, as determined by the Determination Agent and (B) zero.
