The Company shall use its reasonable best efforts to cause the managing underwriter or underwriters of a proposed underwritten offering to permit such Gabelli Affiliates to be included in the registration for such offering and to include such Shares in such offering on the same terms and conditions as the Common Equity Securities included in such offering.
In the case of a Designated Registration, all Registration Expenses other than internal expenses of the Company and securities acts liability insurance obtained by the Company at its election, shall be borne by the Gabelli Affiliates participating in the offering.
The Company will not hereafter enter into any agreement with respect to its securities which is inconsistent with the rights granted to the Gabelli Affiliates in this Agreement.
This Agreement shall be binding upon and inure to the benefit of the Company, the Gabelli Affiliates and the respective successors and permitted assigns of the Company and the Gabelli Affiliates.
The Company shall assign its rights and obligations hereunder to any entity that succeeds to all or substantially all of its assets, by merger or otherwise, including to any holding company that may be formed to be the parent of the Company, if such entity becomes the issuer of the securities then owned by the Gabelli Affiliates.
In any 12-month period, the aggregate time of all Suspensions shall not, without the consent of a majority of the Gabelli Affiliates (by number of Shares held), which consent shall not be unreasonably withheld, exceed 180 days.
