Parent Reserve Report definition

Parent Reserve Report has the meaning set forth in Section 5.14.

Parent Reserve Report has the meaning given such term in Section 4.21(a) of this Agreement.

Parent Reserve Report means the reserve report as of December 31, 2004 prepared by Parent as audited by Hxxxxxxxxx & Co., Inc. and provided to the Company.

• With respect to the proved reserves reflected in the Parent Reserve Report, the Parent Reserve Report conforms in all material respects to the guidelines with respect thereto of the SEC.

• Except for changes generally affecting the oil and gas industry (including changes in commodity prices), there has been no change in respect of the matters addressed in the Parent Reserve Report that would have a Parent Material Adverse Effect.

• Except for changes generally affecting the oil and gas exploration, development and production industry (including changes in commodity prices) and normal depletion by production, there has been no change in respect of the matters addressed in the Parent Reserve Report that would reasonably be expected to have, individually or in the aggregate, a Parent Material Adverse Effect.

• Except for any such matters that, individually or in the aggregate, do not have and would not reasonably be expected to have a Parent Material Adverse Effect, the factual, non-interpretive data supplied by or on behalf of Parent or its Subsidiaries to the Parent Independent Petroleum Engineers relating to the Parent interests referred to in the Parent Reserve Report was, as of the time provided, accurate in all respects.

• Except as would not, individually or in the aggregate, reasonably be expected to have a Parent Material Adverse Effect, the factual, non-interpretive data on which the Parent Reserve Report was based for purposes of estimating the oil and gas reserves set forth in the Parent Reserve Report was accurate.

More Definitions of Parent Reserve Report

Parent Reserve Report means the reserve report dated October 1, 2001, prepared by Parent and provided to Prize.

Parent Reserve Report has the meaning given such term on page 45 of this Agreement.

Parent Reserve Report has the meaning given to it in Section 3.15(a).

Parent Reserve Report means the Aries report on reserves and economics dated December 1, 2004, prepared by Parent and provided to the Company.

Parent Reserve Report means the reserve report as of December 31, 2008 prepared by Parent as audited by Netherland, Xxxxxx & Associates, Inc. and provided to the Company. “Parent Returns” has the meaning ascribed to it in Section 4.13.

Parent Reserve Report shall have the meaning set forth in Section 4.3(m)(i).

Parent Reserve Report has the meaning set forth in Section 6.14. “Parent SEC Documents” has the meaning set forth in Article VI.
