Parent Ratio definition

Parent Ratio means the quotient obtained by dividing (a) the Pre-Separation Parent Stock Value by (b) the Post-Separation Parent Stock Value.
Parent Ratio has the meaning set forth in Section 9.01(h).
Parent Ratio has the meaning assigned in Section 8.2(2)(i).

Examples of Parent Ratio in a sentence

  • For purposes hereof, the condition set forth in clause (2) above shall be deemed not to exist if: the Exchange Ratio and/or the Per Share Cash Consideration is increased so that the Adjusted Parent Ratio is not less than the Index Ratio.

  • In the case of any Parent PSU Award held by a Parent Employee, the number of Parent Shares subject to such Post-Separation Parent PSU Award shall be equal to the product, rounded to the nearest whole share, obtained by multiplying (A) the number of Parent Shares subject to the corresponding Parent PSU Award immediately prior to the Effective Time by (B) the Parent Ratio.

  • All Parent Shares notionally credited to participants’ accounts under the Parent Divided Nonqualified Plans shall be adjusted so that, from and after the Effective Time, such notionally credited shares represent a number of notionally credited Parent Shares (rounded to the nearest whole number of shares) equal to the product obtained by multiplying (1) the number of such notionally credited Parent Shares immediately prior to the Effective Time, by (2) the Parent Ratio.

  • Under no circumstances shall the Union post any notice containing material of a political nature or material tending to, directly or indirectly, disparage any elected or appointed official or employee of the City.

  • For purposes hereof, the condition set forth in clause (2) above shall be deemed not to exist if: the Exchange Ratio is increased so that the Adjusted Parent Ratio is not less than the Index Ratio.

  • For purposes hereof, the condition set forth in clause (2) above shall be deemed not to exist if: the Exchange Ratio and/or the Total Cash Amount is increased so that the Adjusted Parent Ratio is not less than the Index Ratio.

  • All Parent Shares notionally credited to the accounts of Parent Nonemployee Directors under the Parent Deferred Fee Plans immediately after the Effective Time shall be adjusted so that, from and after the Effective Time, such notionally credited shares represent a number of Parent Shares (including any resulting fractional share) equal to the product obtained by multiplying (1) the number of such notionally credited Parent Shares immediately prior to the Effective Time, by (2) the Parent Ratio.

  • The condition set forth in clause (2) above shall be deemed not to exist if the Exchange Ratio and/or the Cash Election Price is increased, or the Cash Election Number changed, so that the Per Share Consideration after such increase is equal to the Per Share Consideration that would have been in effect if (i) the Parent Ratio were equal to the Index Ratio and (ii) the Cash Election Number as in effect on the date hereof were applicable.
