Parent Payment definition

Parent Payment has the meaning set forth in Section 15.14.
Parent Payment means the cash payment by the Parent to Dex on the Effective Date of $210,000,000, made with the proceeds to the Parent of the East Dividend.
Parent Payment the process by which a Parent makes a payment for Payment Items, using PPL Products and Services, whereby the Transaction Value is deducted from the Parent Account Balance; “Parent Portal” the online portal provided by us, in some cases also accessible as a mobile app, that provides Parents with access to a range of services, including the ability to view Content and the facility to make Parent Payments for your Payment Items. For the avoidance of doubt, the Parent Portal may include Content from Parents’ other Schools and/or Content from us; “Payment Collection Service” the service offered by us which facilitates the collection of funds by you, in respect of your Payment Items, which includes: the processing of Loads and Parent Payments; the processing of Refunds; the management of the Holding Account, settlement services for the Remittance; related reporting services; the handling of Charge Backs; and, operation of the Payment Collection Service in line with relevant regulatory requirements and Scheme rules; “Payment Item” a good or service offered to Parents by you, your suppliers or affiliates, or by us, via the PPL Products and Services; “Payment Service Fee” a fee charged by us to you, for the use of PPL Products and Services by you and your Parents, which includes inter alia: access to relevant enhancements and updates to PPL Products and Services; remote hosting of the PPL Products and Services; support services provided to you and/or to your Parents; certification and management of security requirements; and, the operation of the Payment Collection Service; "PayPoint Payment" a Load made in cash at PayPoint authorised agents or terminals, via the PayPoint Scheme;

Examples of Parent Payment in a sentence

  • The Contractor must not request any payments from Parents for or in relation to the provision of a Program or Service except as permitted by the Department’s Policy titled ‘Parent Payments in Victorian Government Schools’ (‘the Parent Payment Policy’).

  • If a Parent Payment Event (defined below) occurs, Parent shall pay to the Company a fee of $70 million simultaneously with the occurrence of such Parent Payment Event.

  • Subject to paragraph (b) above, this shall not affect the right of the Agents to issue a Senior Parent Payment Stop Notice in respect of any other event or set of circumstances.

  • The Contractor must not request any payments from Parents for or in relation to the provision of a Program except as permitted by the Department’s Policy titled ‘Parent Payments in Victorian Government Schools’ (‘the Parent Payment Policy’).

  • Neither Parent nor any of its subsidiaries has received any written notices of any action pending by any Parent Payment Program, to revoke, limit or terminate the participation for cause of Parent or any of its subsidiaries in any Parent Payment Program, except as has not had and would not, individually or in the aggregate, reasonably be expected to have a Parent Material Adverse Effect.

  • In the event that Parent fails to make a payment to GLNG by the Demand Date specified in the relevant Parent Payment Notice: (i) GLNG shall make such payment and (ii) shall promptly provide Parent notice confirming that it has done so and requiring Parent to make payment of the amount for which GLNG is entitled to indemnification under Section 1.1 of this Agreement by a date falling no earlier than ten (10) days from the date on which Parent receives the Parent Payment Notice.

  • Any payment made pursuant to this Section 3.8(c) shall be made via wire transfer of immediately available funds within one (1) Business Day of the date of Parent Payment Notice.


More Definitions of Parent Payment

Parent Payment means cash in an aggregate amount equal to (a) the Aggregate Common Stock Consideration plus (b) the Aggregate Offer Price minus (c) the Company Contribution.
Parent Payment means any payment whatsoever made by Parent or any Subsidiary of Parent with respect to any Obligation on or after the Closing Date in accordance with the terms of such Obligation to the Beneficiary thereof.
Parent Payment shall have the meaning given the term in Section 3.1(a). “Parent Separate Return” means, with respect to a Tax, a hypothetical Tax Return of the applicable Parent Group for such Tax on a consolidated, combined, unitary or separate basis, as the case may be, that does not include PPC or any other PPC Entity. “Parent State Tax Asset” means, with respect to the applicable member of Parent Group, any Tax Item (or portion thereof) that has accrued for applicable State Income Tax purposes, but has not been used by the applicable Parent Group on its Parent Separate Return during the Tax Year in which it accrued for purposes of the calculations in Section 2, and that could reduce a State Income Tax in such Tax Year or another Tax Year for the applicable Group, including a net operating loss, net capital loss, disallowed business interest, research and experimentation credit, charitable deduction or any other credit, but such term shall not include the Tax basis of an asset. “Parent State Income Tax Amount” shall have the meaning given the term in Section 2.3. “Parent State Income Tax Reduction” shall have the meaning given the term in Section 2.3. “Parent Tax Asset Payment” shall have the meaning provided in Section 3.1(e). “Penalties and Interest” means, whether disputed or not, any interest, fines, penalties, assessments, or additions resulting from, attributable to, or incurred in connection with any Tax. “Person” means an individual, any Entity or a governmental entity or any department, agency or political subdivision thereof.
