Use the proceeds of the Credit Extensions for working capital, Capital Expenditures, Permitted Acquisitions, to make payments in respect of the Parent Notes as permitted by Section 7.14, and for other general corporate purposes, in each case, not in contravention of any Law or of any Loan Document.

Borrower agrees and acknowledges that (i) the Lenders expressly intend that the Obligations will be structurally senior to the Parent Notes and any other obligations of Parent (other than its Guarantee of the Obligations) and (ii) the Lenders are expressly relying on the separate creditworthiness of Borrower.
