Parent Names definition

Parent Names means the names, marks, trade dress, logos, monograms, domain names and other source or business identifiers of any member of the Parent Group or the Transferred Entities using or containing “eBay,” either alone or in combination with other words or elements, and all names, marks, trade dress, logos, domain names and other source or business identifiers confusingly similar to or embodying any of the foregoing either alone or in combination with other words or elements, together with the goodwill associated with any of the foregoing.

Parent Names means the names, Marks or logos of Parent or any of its Affiliates at any time prior to the Effective Time, or any variations or derivatives thereof, either alone or in combination with other words and any names, Marks or logos confusingly similar to or embodying any of the foregoing, in each case other than the SpinCo Names. For the avoidance of doubt and notwithstanding anything herein to the contrary, the “XPO” name, Mark and logo, including any variations or derivatives thereof, either alone or in combination with other words, shall be part of the Parent Names.

Parent Names shall have the meaning set forth in Section 5.5(a).

• The Acquiror, for itself and its Affiliates, agrees that the use of the Parent Names and Marks during the Transitional Use Period shall only be with respect to good and services of a level of quality equal to or greater than the quality of goods and services with respect to which the Company and the Transferred Subsidiaries used the Parent Names and Marks immediately prior to the Closing.

• Any and all goodwill arising from the use of the Parent Names as described in this Section 5.4 shall inure to the sole and exclusive benefit of the Parent Group.

• Within sixty (60) days after the Closing Date, Purchaser shall, and cause the Transferred Entities to, make necessary legal filings to change all of its and their corporate names to eliminate from such names any of the Parent Names, and shall use commercially reasonable efforts to effectuate such name change as soon as reasonably practicable.

• All use of the Parent Names and Marks by the Galleria Entities will inure to the benefit of Parent and its Affiliates.

• Except as expressly provided in this Section 5.17 or Section 5.27, Parent reserves for itself and its Affiliates all rights in the Parent Names and Marks, and no other rights therein are granted to SplitCo, any Galleria Entity, member of the Acquiror Group or any of their respective Affiliates, whether by implication, estoppel or otherwise.

• Any and all goodwill arising from the use of the Parent Names as described in this Section 5.5 shall inure to the sole and exclusive benefit of the Parent Group.

• Except to the extent expressly permitted under Section 1.1(b), Buyer shall not, and shall cause its Affiliates (including Performance Packaging) not to, use the Parent Names in connection with the sale of any goods or services or otherwise in the conduct of its or their businesses.

Parent Names shall have the meaning ascribed to it in Section 8.4. "Parent's Hourly Master Pension Benefit" shall have the meaning ascribed to it in Section 5.7(c)(iii).
