Parent Most Recent Balance Sheet definition

Parent Most Recent Balance Sheet shall have the meaning set forth in Section 3.8.
Parent Most Recent Balance Sheet has the meaning set forth in Section 4.9(a) of this Agreement.
Parent Most Recent Balance Sheet is defined in Section 3.6.1.

  • Parent and its Subsidiaries have good and marketable title to, or a valid leasehold interest in, the properties and assets used by them, located on their premises, or shown on Parent Most Recent Balance Sheet or acquired after the date thereof, free and clear of all Liens, except for properties and assets disposed of in the Ordinary Course of Business since the date of Parent Most Recent Balance Sheet.

  • Except as disclosed in SCHEDULE 5.8, since the date of the Parent Most Recent Balance Sheet through the date hereof there has not been an effect, change or development that has or will have a Parent Material Adverse Effect.

  • Parent and its Subsidiaries have good title to or a valid leasehold estate in (i) all personal properties and assets reflected on the date of the Parent Most Recent Balance Sheet (except for properties or assets subsequently sold in the ordinary course of business consistent with past practice), except as could not, individually or in the aggregate, reasonably to be expected to have a Parent Material Adverse Effect.

  • Parent does not have any material liabilities or obligations, whether fixed, contingent, accrued or otherwise, liquidated or unliquidated and whether due or to become due, other than: (i) liabilities reflected or reserved against on the Parent Most Recent Balance Sheet; and (ii) liabilities or obligations incurred since the Parent Most Recent Balance Sheet Date in the ordinary course of business, consistent with past practice in both type and amount.

  • Since the Parent Most Recent Balance Sheet Date, Parent has conducted its business only in the ordinary course of business consistent with past practice, and there has not been any action, event or occurrence which has had, or would reasonably be expected to result in, a Parent Material Adverse Effect.

  • Except as disclosed in Section 3.7 of the Parent Disclosure Schedule, since the date of the Parent Most Recent Balance Sheet, Parent has conducted its business only in the ordinary course (subject to matters related to this Agreement), and since the date of the Parent Most Recent Balance Sheet, there has been no Material Adverse Effect on Parent’s business.
