Parent Class A Shares definition

Parent Class A Shares means the Class A common stock, $0.0001 par value, of Parent.
Parent Class A Shares means the Class A Limited Voting Shares of Parent.
Parent Class A Shares means the Class A common stock, $0.0001 par value, of Parent. “Parent Class B Shares” means the Class B common stock, $0.0001 par value, of Parent.

  • In accordance with the Parent Certificate of Incorporation, the proceeds held in the Trust Account will be used for the redemption of the Parent Class A Shares held by Parent’s public stockholders who have elected to redeem such shares, if any.

  • Prior to the Closing, none of the funds held in the Trust Account may be released except to redeem Parent Class A Shares from Public Stockholders in accordance with the provisions of Parent’s Organizational Documents and the IPO Prospectus (the “Redemption”) or as otherwise described in Section 9.2(a).

  • The Offer Documents shall provide the public stockholders of Parent with the opportunity to redeem all or a portion of their public Parent Class A Shares, up to that number of Parent Class A Shares that would permit Parent to maintain net tangible assets of at least $5,000,001 (the “Offering Shares”), at a price per share determined in accordance with the Parent Certificate of Incorporation, all in accordance with applicable Law and any applicable rules and regulations of the SEC.
