Parallel Transaction means the transactions contemplated in the Ganfeng Investment Agreement;

  • Counterparty hereby represents and warrants that until (but excluding) the First Acceleration Date (which date may be postponed as provided herein), no hedging, valuation or averaging period or similar such period of the Parallel Transaction shall include any MLI Day for pricing, valuation or other economic purposes.

  • Counterparty’s Notices with respect to the Valuation Period: If a day has been excluded from the valuation period of the Parallel Transaction prior to the First Acceleration Date as postponed pursuant to “Postponement” above, Counterparty shall notify MLI thereof no later than 6 p.m. New York City time on the day so excluded.

  • LAC has duly executed and delivered to Ganfeng the Ganfeng Investment Agreement providing for the Parallel Transaction, such Ganfeng Investment Agreement constitutes a legal, valid and binding obligation of LAC, enforceable against it in accordance with its terms, and except as disclosed to BCPI, the Ganfeng Investment Agreement has not been amended, restated or supplemented.
