Parallel Fund Borrower definition

Parallel Fund Borrower means, with respect to a Fund Group, each Borrower identified as a “Parallel Fund Borrower” on Schedule I in respect of such Fund Group, together with any other Parallel Investment Vehicle which becomes a Borrower in such Fund Group under this Credit Agreement pursuant to Section 6.4.
Parallel Fund Borrower means any Parallel Fund Borrower, individually.

  • Upon the satisfaction of the requirements of this Section 6.4 described above, the AIV Borrower or Parallel Fund Borrower, as applicable, shall be bound by the terms and conditions of this Credit Agreement as a Borrower hereunder.

  • The Administrative Agent shall have received from the AIV Borrower or Parallel Fund Borrower, as applicable, a signed certificate of a Responsible Officer of such Borrower that shall certify the names of the Persons authorized to sign the Loan Documents to be delivered pursuant to the terms hereof by such Borrower, together with the true signatures of each such Person.

  • The Administrative Agent shall have completed to its satisfaction its due diligence review of such AIV Borrower or Parallel Fund Borrower, as applicable, and its respective management, controlling owners, systems and operations.

  • The Administrative Bank shall have received, sufficiently in advance of (but in any event not less than three (3) Business Days prior to) the addition of such AIV Borrower or Parallel Fund Borrower, a Beneficial Ownership Certification in relation to each AIV Borrower or Parallel Fund Borrower that qualifies as a “legal entity customer” under the Beneficial Ownership Regulation.

  • With respect to any Borrower, Qualified Borrower, AIV Borrower, Parallel Fund Borrower, or Feeder Fund that is “legal entity customer” under the Beneficial Ownership Regulation, such Borrower, Qualified Borrower, AIV Borrower, Parallel Fund Borrower, or Feeder Fund shall promptly give notice to the Administrative Bank of any change in the information provided in any Beneficial Ownership Certification that would result in a change to the list of beneficial owners identified therein.

  • Pooled fund group means an internally created fund of a district in which one or more institutional accounts of a district are in- vested.

  • L/C Bank means the Original L/C Bank and any other Lender which has been appointed as an L/C Bank in accordance with Clause 5.11 (Appointment and Change of L/C Bank) and which has not resigned in accordance with paragraph (c) of Clause 5.11 (Appointment and Change of L/C Bank).

  • Mortgage Loan Borrower Related Party shall have the meaning assigned to such term in Section 13.

  • L/C Issuer means Bank of America in its capacity as issuer of Letters of Credit hereunder, or any successor issuer of Letters of Credit hereunder.

  • Non-Debt Fund Affiliate means any Affiliate of Holdings, but excluding (a) Holdings and its Subsidiaries, (b) any Debt Fund Affiliate and (c) any natural person.

  • Affiliated Debt Fund means a debt fund or other investment vehicle that is an Affiliate of the Sponsor and that is primarily engaged in, or advises funds or other investment vehicles that are engaged in, making, purchasing, holding or otherwise investing in commercial loans, notes, bonds and similar extensions of credit or securities in the ordinary course of its business and whose managers have fiduciary duties to the investors therein independent of or in addition to their duties to the Sponsor or any of its Affiliates.

  • Purchasing Borrower Party means Holdings or any subsidiary of Holdings.

  • Debt Fund Affiliate means any Affiliate of the Sponsor (other than Holdings or any of its Subsidiaries) that is a bona fide debt fund or an investment vehicle that is engaged in the making, purchasing, holding or otherwise investing in, acquiring or trading commercial loans, bonds or similar extensions of credit in the ordinary course and whose managers have fiduciary duties to the investors in such fund independent of, or in addition to, their duties to the Sponsor.

  • Initial Borrowing means the first Borrowing made pursuant to this Agreement.

  • Foreign limited liability partnership means a partnership that:

  • Affiliated Lender means, at any time, any Lender that is the Sponsor or an Affiliate of the Sponsor (other than Holdings, the Borrower or any of their respective Subsidiaries) at such time.

  • Refunding Borrowing means a Committed Borrowing which, after application of the proceeds thereof, results in no net increase in the outstanding principal amount of Committed Loans made by any Bank.

  • Venture capital fund means a private fund that meets the definition of a venture capital fund in SEC Rule 203(l)-1, 17 C.F.R. § 275.203(l)-1.

  • Initial Borrowing Date means the date occurring on or after the Effective Date on which the initial Borrowing of Loans occurs.

  • Canadian Investment Manager designation means the designation earned through the Canadian investment manager program prepared and administered by CSI Global Education Inc. and so named on the day this Instrument comes into force, and every program that preceded that program, or succeeded that program, that does not have a significantly reduced scope and content when compared to the scope and content of the first-mentioned program;

  • Co-Borrower shall have the meaning assigned to such term in the introductory paragraph of this Agreement.

  • Limited liability partnership or “LLP” shall mean a Company governed by Limited Liability Partnership Act 2008 or as amended;

  • B-BBEE means broad-based black economic empowerment as defined in section 1 of the Broad-Based Black Economic Empowerment Act;

  • Additional Borrower means a company which becomes an Additional Borrower in accordance with Clause 24 (Changes to the Obligors).

  • Lender-Related Person means, with respect to any Lender, such Lender, together with such Lender’s Affiliates, officers, directors, employees, attorneys, and agents.
