Panel Services means the Services described in Panel Agreement Schedule 2 (Panel Services and Key Performance Indicators) which the Supplier shall make available to Panel Customers;
Panel Services. Guidance Notes: Include a description of the Ordered Panel Services required under this Legal Services Contract (including the Mandatory Panel Services and/or Optional Panel Services which are to be performed). Details of all the Panel Services available at Panel Agreement level can be found in Part A of Panel Schedule 2 (Panel Services). The Ordered Panel Services may be either a general requirement for legal advice in relation to a specified objective (for example, “The Supplier shall provide such advice, support and drafting as the Customer may require in relation to [ADD DETAILS OF THE TASK] (the “Project”)”; or it may be a defined set of requirements (for example, (i) review XYX documents; (ii) provide advice on XYZ documents; (iii) prepare for and attend X number of meetings with Customer and service provider; (iv) re-draft XYZ documents in accordance with positions agreed at meetings and provide up to X further iterations of such documents, as required by the Customer; and (v) provide such ancillary advice, support and/or drafting not covered under (i) to (iv) above in relation to the Project as the Customer may require .” If the Customer requires the Supplier to provide project management services, this should be stated here. If the Customer has agreed any value added services (whether under the Mandatory Panel Services or Optional Panel Services) with the Supplier, this should be specified here separately. The Customer should also specify that any such value added services are not subject to the charges for the Panel Services. Lots 2-4 only: The Customer is entitled to 2 hours of free consultation and legal advice with each Order. If the Customer’s Order appoints the Supplier to act for the Customer in relation to a class of matters (which may or may not be known or identified at the Commencement Date), the Supplier’s obligation to provide 2 hours of free consultation will apply to each new matter which arises. Under these circumstances, the Customer must specify the arrangement here and expressly state that the 2 hours of free consultation will apply to each new matter arising under the Order.
Panel Services has the meaning given to it in the Panel Agreement;] references to this Deed of Guarantee and any provisions of this Deed of Guarantee or to any other document or agreement (including to the Guaranteed Agreement) are to be construed as references to this Deed of Guarantee, those provisions or that document or agreement in force for the time being and as amended, varied, restated, supplemented, substituted or novated from time to time; unless the context otherwise requires, words importing the singular are to include the plural and vice versa; references to a person are to be construed to include that person's assignees or Transferees or successors in title, whether direct or indirect; the words “other” and “otherwise” are not to be construed as confining the meaning of any following words to the class of thing previously stated where a wider construction is possible; unless the context otherwise requires, reference to a gender includes the other gender and the neuter; unless the context otherwise requires, references to an Act of Parliament, statutory provision or statutory instrument include a reference to that Act of Parliament, statutory provision or statutory instrument as amended, extended or re-enacted from time to time and to any regulations made under it; unless the context otherwise requires, any phrase introduced by the words “including”, “includes”, “in particular”, “for example” or similar, shall be construed as illustrative and without limitation to the generality of the related general words; references to Clauses and Schedules are, unless otherwise provided, references to Clauses of and Schedules to this Deed of Guarantee; and references to liability are to include any liability whether actual, contingent, present or future.

Examples of Panel Services in a sentence

  • Where requested by the Customer and/or its Replacement Supplier, the Supplier shall provide all reasonable assistance to the Customer and/or its Replacement Supplier to enable it to determine which Transferable Assets and Transferable Contracts the Customer and/or its Replacement Supplier requires to provide the Ordered Panel Services or the Replacement Services.

  • Such policy or policies shall include professional indemnity cover in respect of any financial loss to the Customer arising from any advice given or omitted to be given by the Supplier under the Legal Services Contract or otherwise in connection with the provision of the Ordered Panel Services.

  • Following notice of termination of this Contract and during the Termination Assistance Period, the Supplier shall not, without the Customer's prior written consent: terminate, enter into or vary any Sub-Contract; (subject to normal maintenance requirements) make material modifications to, or dispose of, any existing Supplier assets or acquire any new Supplier assets; or terminate, enter into or vary any licence for software in connection with the provision of Ordered Panel Services.

  • The Customer and Supplier agree and acknowledge that in the event of the Supplier ceasing to provide the Ordered Panel Services or part of them for any reason, Contract Schedule 3 (Staff Transfer) shall apply.

  • Except where this Contract provides otherwise, all licences, leases and authorisations granted by the Customer to the Supplier in relation to the Ordered Panel Services shall be terminated with effect from the end of the Termination Assistance Period.

  • The Supplier shall not and shall procure that any relevant Sub-Contractor shall not take any step (expressly or implicitly and directly or indirectly by itself or through any other person) without the prior written consent of the Customer to dissuade or discourage any employees engaged in the provision of the Ordered Panel Services from transferring their employment to the Customer and/or the Replacement Supplier and/or Replacement Sub-Contractor.

  • The Exit Information shall be accurate and complete in all material respects and the level of detail to be provided by the Supplier shall be such as would be reasonably necessary to enable a third party to: prepare an informed offer for those Ordered Panel Services; and not be disadvantaged in any subsequent procurement process compared to the Supplier (if the Supplier is invited to participate).

  • The Supplier shall keep and maintain for seven (7) years after the Expiry Date (or as long a period as may be agreed between the Parties), full and accurate records and accounts of the operation of this Legal Services Contract including the Ordered Panel Services provided under it, any Sub-Contracts and the amounts paid by the Customer.

  • The Termination Assistance Notice shall specify: the date from which Termination Assistance is required; the nature of the Termination Assistance required; and the period during which it is anticipated that Termination Assistance will be required, which shall continue no longer than twelve (12) Months after the date that the Supplier ceases to provide the Ordered Panel Services.

  • The Supplier shall: notify the Customer within five (5) Working Days of any material change to the Exit Information which may adversely impact upon the provision of any Ordered Panel Services and shall consult with the Customer regarding such proposed material changes; and provide complete updates of the Exit Information on an as-requested basis as soon as reasonably practicable and in any event within ten (10) Working Days of a request in writing from the Customer.

The Ordered Panel Services required under this Legal Services Contract will provide resource to address gaps in existing legal expertise, lack of internal capacity The legal support will include the following activities: • Existing Contract Review the current contract including, the aspects related to IPR, Exit Plan, TUPE obligations • New Procurement Review procurement documents – PIN, Documents (Including Q&A), ITT, SSQ and Evaluation Criteria Support with creation of draft contract including Terms & Conditions and schedules, based on Model Service Contract template. • Evaluation and Moderation Support with evaluation and moderation as required by the Customer. Competitive Procedure with negotiation, assuming 2 rounds and Best & Final Offer (BAFO) • Terms & Conditions Support with finalisation of contract following contract award notices – Review and amend Model Service Contract – insert service provisions and financial model. Panel Services. The Panel Services and any Standards set out in Annex 1 to this Part A of Panel Agreement Schedule 2 (Panel Services and Key Performance Indicators) may be refined (to the extent permitted and set out in Panel Agreement Schedule 5 (Ordering Procedure)) by a Panel Customer during a Further Competition Procedure to reflect its service requirements for entering a particular Legal Services Contract. The Supplier acknowledges and agrees that the descriptions of the types of legal services and areas of legal practice set out beneath each legal specialism are illustrative only and are not exhaustive. Customers are entitled to seek advice from the Supplier in respect of any type of legal service, provided that such advice falls within the scope of the legal specialism headings set out under the lot.
Panel Services. We require advice and support with the award and management of business-critical Future Information Technology Sourcing (FITS) contracts. The most urgent work is required on the FITS Application Maintenance and Support (AMS) contract with CGI (“the AMS Contract”), which has an expiry date of 31st August 2020. There is no contractual right to extend further. An extension of one month is necessary. The intention is to replace the AMS Contract with a direct award to the incumbent, CGI. The replacement contract would be for up to 3 years (2+1). We require legal support to help prepare, negotiate and finalise this replacement contract with CGI and potentially also negotiate and conclude a collateral agreement. Once the contract is awarded, we have a potential requirement for further ad hoc legal support, over the term. We might also require potential legal support on the remaining FITS contracts (Atos EUCS, WAN/LAN and VVI), in particular with regard to the exit provisions and replacement arrangements. For any of the contracts, the advice required might include: • Procurement advice • Preparing extensions and contracts including updating terms to require updating to reflect Cabinet Office PPNs, changes in legislation etc. • Negotiating contractual terms with suppliers • Assistance with internal governance and approval processes, including preparing Summary Contract Report and updating as negotiations conclude • Contract finalisation (checking cross reference, creating final versions and arranging signature) • Project management • Ad-hoc legal queries and issues (the Hosting Contract recently awarded to CGI) over the term of the contracts including o issues/disputes regarding the BAU service o general exit related issues, removal of applications from scope o any requests for relief relating to COVID 19 o use of termination assistance/extensions o IPR issues For the avoidance of doubt, it is acknowledged there is a right at all times for the Customer to terminate the appointment at the Customer’s discretion and with no minimum guaranteed amount of work and the Customer retains the right to source such legal advice in relation to any of the above requirements from another law firm or GLD.
