  • The Supplier shall adopt a policy of continuous improvement in relation to the Panel Services pursuant to which it will regularly review with the Authority the Panel Services and the manner in which it is providing the Panel Services with a view to reducing the Authority's costs, the costs of Panel Customers (including the Panel Prices) and/or improving the quality and efficiency of the Panel Services.

  • The Supplier shall not pass through or recharge to, or otherwise recover from any Panel Customers the cost of the Management Charge in addition to the Charges.

  • The Supplier shall promptly notify and provide full particulars to the Authority or the relevant Other Panel Customers if such conflict referred to in Clause 41.1 arises or may reasonably been foreseen as arising.

  • Should the Supplier's costs in providing the Services to Panel Customers be reduced as a result of any changes implemented by the Authority and/or Panel Customers, all of the cost savings shall be passed on to Panel Customers by way of a consequential and immediate reduction in the Panel Prices for the Panel Services.
