Seller shall include the Companies and Paline Pipeline Company in Seller’s combined group through the Closing Date for purposes of Seller’s Texas franchise Tax Returns and none of the Companies will be designated as the reporting company for such Tax Returns.
Each of the Delek Entities party to the Credit Agreement (other than Paline LLC, SALA Gathering LLC, Crude Logistics and Big ▇▇▇▇▇) has all requisite limited partnership or limited liability company power and authority, as the case may be, to execute and deliver the Credit Agreement and to perform its respective obligations thereunder.
