SCHEDULE 2.1(a) sets forth a true, accurate and complete list of all of the Equipment used primarily in the conduct of the PAIX Business as currently conducted by Seller as of the date of this Agreement.
If the conditions precedent set forth in SECTION 8.3 and SECTION 9.3 are satisfied before June 21, 1999, however, then the Closing Date shall occur at the aforesaid location and time on the third business day after the date that Seller has delivered to Purchaser the 1998 PAIX Year-End Financials and the 3/31 PAIX Quarterly Financials.
